GharBachat Module Franchise Partner – Terms & Conditions

By registering or accepting a Module Franchise Partner role on the GharBachat Platform, the Partner agrees to the following Terms:
1. Appointment & Rights
GharBachat may appoint a Partner for an approved Module and assigned Territory. Rights are conditional, limited and non-transferable unless approved in writing. These rights do not create employment, partnership, agency or joint-venture status.
2. Partner Responsibilities
The Partner shall follow GharBachat SOPs, approved onboarding procedures, brand guidelines, pricing/commission policies, reporting requirements and all applicable laws, licenses and regulatory requirements.
3. Module & Territory
The Partner may operate/develop only the approved Module and assigned Territory. Territory protection is performance-based and does not create a permanent or lifetime monopoly.
4. Fees & Revenue Share
Applicable franchise fees shall be as specified in the applicable Schedule/Agreement. Revenue Share shall be calculated only on the Eligible Net Platform Revenue and shall be subject to applicable deductions, adjustments, refunds, chargebacks and settlement rules under CR-01.
5. No Guaranteed Income
GharBachat does not guarantee any minimum income, profit, return, customers, orders or transaction volume.
6. Brand & Intellectual Property
GharBachat name, logo, trademarks, software, databases, content, systems, processes and other intellectual property remain the property of GharBachat or its licensors. The Partner may use them only as authorized.
7. Data & Confidentiality
Partner shall protect customer, vendor, financial, business, technology and other confidential information and shall not copy, sell, transfer or use such information for unauthorized or competing purposes.
8. Prohibited Activities
Fraud, fake orders, self-referrals, duplicate/fake accounts, unauthorized charges, misleading income/return claims, data misuse, brand misuse, unauthorized discounts/refunds and unauthorized sub-franchising are prohibited.
9. Suspension & Termination
GharBachat may temporarily suspend access in cases including fraud suspicion, payment default, serious complaints, unauthorized activity, data/security issues, regulatory concerns or Agreement breach. Termination shall be governed by the applicable Agreement and its cure/termination provisions.
10. Compliance & Liability
The Partner shall comply with applicable Indian laws, tax/invoicing requirements, registrations, licenses and module-specific regulations and shall maintain applicable insurance where required. Liability and indemnity shall be governed by the applicable Franchise Partner Agreement and applicable law.
11. Platform Changes
GharBachat may modify, suspend or discontinue platform features, processes or modules for technology, operational, commercial, compliance or safety reasons.
12. Governing Law & Dispute Resolution
These Terms and the applicable Agreement shall be governed by the laws of India. Disputes shall be handled according to the dispute-resolution provisions of the applicable Agreement, with the agreed jurisdiction/arbitration seat at Navsari, Gujarat, where applicable.
13. Agreement Priority
These App Terms provide a summary of the Partner's obligations. In case of any conflict, the signed Module Franchise Partner Agreement and its applicable Schedules/CR-01 shall prevail.

COMMON REVENUE & SETTLEMENT TERMS
CR-01 — Common Revenue & Settlement Schedule
Applicable To: Coordinator અને Module Franchise Partner
આ Terms GharBachat Platform પર eligible transactions માટે Revenue Sharing, Eligible Net Platform Revenue અને Settlement Framework નક્કી કરેે.
1. Revenue Sharing
Revenue Share Eligible Net Platform Revenue પર ગણવામાં આવશે, Customer ના Gross Order Value / GMV પર નહીં.

Module Franchise Partnerના 10% shareમાંથી:
Change Sub Module (BC) → 7%
Franchise Partner Module → 3%
2. Eligible Net Platform Revenue
Eligible Net Platform Revenue એટલે applicable transaction revenueમાંથી approved deductions, adjustments અને exclusions બાદ Revenue Sharing માઇ રહેતી રકમ.
Applicable deductions:
GST અને applicable statutory taxes
Vendor payouts
Driver / Service Provider payouts
Payment gateway / transaction processing charges
Refunds અને customer refunds
Chargebacks અને reversals
Canceled / invalid transactions
Pass-through / third-party amounts
GharBachat-funded promotional adjustments
Fraudulent, disputed અથવા ineligible transactions
Approved transaction-specific deductions
3. Revenue Calculation
GMV → Gross Platform Revenue → Applicable Adjustments (Tex)→ Eligible Net Platform Revenue → Revenue Distribution
Revenue distribution will be carried out in accordance with CR-01 and the applicable signed commercial schedule.
"Central" may retain amounts for shared technology, platform development, operations, customer support, marketing, administration, compliance, security, and reserves.
4. Settlement
Settlement will generally take place on a monthly basis.
Transaction reconciliation may occur after the completion of the accounting month.
Approved payable amounts may be transferred to the registered bank account in accordance with the applicable settlement cycle.
Applicable statutory deductions (such as TDS and GST) will be applied.
Settlement of suspicious, disputed, or fraudulent transactions is subject to the completion of verification.
5. Refunds / Chargebacks / Reversals
Adjustments for refunds, chargebacks, reversals, or other valid items may be made against the settlement amount.
6. Fraud and Illicit Transactions
Activities such as fake orders, self-referrals, duplicate accounts, manipulated transaction data, fake vendor/driver/service-provider accounts, coordinated cancellations, payment misuse, unauthorized refunds/discounts, or promotional manipulation are prohibited.
In the event of confirmed fraud or illicit transactions, the revenue share will be cancelled or deducted from subsequent settlements.
7. Accounting and Dashboard
Transaction records maintained in the central system serve as the primary operational records for revenue share calculations, subject to applicable reconciliation and audit processes. Depending on the role, the following information is available on the dashboard:

8. Revenue Example
• If Eligible Net Platform Revenue = ₹1,00,000:

* Where applicable.
Example: If Customer GMV is ₹10,000, Gross Platform Commission is ₹400, and Eligible Net Platform Revenue (after applicable adjustments) is ₹10,000, then revenue sharing will be calculated on ₹150.
9. No Guarantees
Revenue share is based on actual eligible transactions and reconciliation.
No minimum monthly income, guaranteed profit, guaranteed orders, guaranteed customers, or guaranteed returns.

11. Precedence and Conflict
Regarding revenue calculation and settlement, the signed agreement, the applicable commercial schedule, and CR-01 shall prevail.
Any specific commercial term shall be valid only if included in a written, approved, and enforceable agreement/schedule.

Acceptance:
Upon the Partner/Coordinator selecting "Accept/I Agree," these commercial terms and the applicable agreement/schedule shall be deemed accepted.
